Job Description
Job Requirements:
- Must have a law degree from an accredited law school and be licensed in good standing to practice in at least one state. Admission in Massachusetts preferred or eligible for in-house counsel registration. This position is located in Boston, Massachusetts and offers a flex/hybrid in-office schedule.
- Three (3) to five (5) years of corporate legal experience. Government contracting experience (public or private sector) required. In-house experience strongly preferred.
Responsibilities:
- Responsible for drafting and negotiating routine and complex commercial agreements.
- Support business and operations in identifying risk in new business opportunities.
- Identify opportunities to increase efficiency in the contract review process, including continuous improvement of templates, signing protocol, and workflow management.
- Support internal teams with ethics and compliance to emphasize and foster a culture of integrity and compliance.
- Partner with law department colleagues, business management, and cross-functional leaders on legal projects and business initiatives, including corporate governance, entity restructurings, strategic supplier relationships, and business development.
- Support General Counsel and outside counsel with pre-litigation claims and litigation matters from time to time.

Key Accountabilities:
- Provide legal analysis, research, insight, evaluation, guidance, and basic business acumen for transactions, new business, and business planning.
- Review, draft, and negotiate government contracts, subcontracts, NDAs, and related agreements.
- Support business development and operations in reviewing RFPs for business opportunities and supporting the bid process through keen legal review and guidance.
- Act as a primary point of contact for local business teams in the management of customer contract obligations; ensure contract compliance and assist operations teams in responding to routine inquiries from government customers.
- Advise main stakeholders as a business partner; identify legal issues as they arise to allow for efficient management.
- Assist in the resolution of contract disputes and claims.
Contractual Management:
- Provide key support, guidance, and advice over the entire life-cycle of customer contracts from RFP process through drafting/negotiation and execution/enforcement.
- Review and negotiate master agreements and statements of work (SOWs) to ensure all terms and conditions are clear, precise, and legally enforceable.
- Support in-house procurement team with review and execution of vendor agreements and ensure compliance with customer contract obligations and requirements.
- Liaise with key stakeholders to uphold and enforce internal processes for signatures/approvals.
